These Guild Services Terms of Use (these "Terms") set forth the terms and conditions for the use of “Guild Services” of “LINE BROWN STORIES” (the "Service") provided by LINE Corporation ("LINE") under LINE brand to the users of the Service (“Users”).
1. Definitions
"Guild" in these Terms refers to a community created on the Service for the purpose of communication between Users, and "Guild Services" refers to any and all services provided by LINE to Users in relation to Guild.
2. Agreement to These Terms
2.1. All Users shall use Guild Services in accordance with these Terms. Users may not use Guild Services unless they agree to these Terms.
2.2. Users who are minors may only use Guild Services by obtaining prior consent from their parents or legal guardians.
3. Users' Obligations
3.1． Users shall comply with these Terms, LINE GAME Service Terms of Use, and other operating policies set forth by LINE, as well as with matters that LINE notifies Users individually or entirely.
3.2． LINE may suspend the use of all or any part of the Service, suspend or delete Guild, cancel any agreement between a User and LINE with respect to Guild Services (including, without limitation, any agreement based on these Terms, hereinafter the same) or take any other measure LINE reasonably determines to be necessary and appropriate, without prior notice to such User, in the case that such User falls under or there is a possibility that such User falls under any of the following items:
3.2.1． A User is in breach of applicable laws and regulations, these Terms or LINE GAME Service Terms of Use;
3.2.2． A User is a member of an anti-social group or a related party thereof;
3.2.3． A User tarnishes LINE’s credibility by spreading false information, using fraudulent means or force, or other unlawful means;
3.2.4． A User is subject to a petition for attachment, provisional attachment or auction procedures such as bankruptcy, civil rehabilitation or similar procedures are commenced; or LINE otherwise reasonably deems that there is uncertainty with respect to User’s credibility; or
3.2.5． The relationship of trust with a User is lost or LINE otherwise reasonably determines that would not be appropriate for LINE to provide Guild Services to a User, due to reasons other than as set forth in items 3.2.1 to 3.2.4.
3.3． In the case where LINE suffers loss/damages either directly or indirectly (including, without limitation, attorney fees) due to a User’s use of Guild Services (including, without limitation, cases where LINE receives a complaint from a third party due to such use), the User shall immediately compensate LINE for such loss/damage in accordance with LINE’s request.
4. Establishment of Guild
4.1. Each User may create only one Guild.
4.2. A User that has created Guild within the Service may acquire the status of manager of the created Guild (the "Guild Master") and its status may be transferred to any other User. The privileges of Guild Master are limited to the extent otherwise provided by LINE and may be changed from time to time at the discretion of LINE.
5. Participation in Guild
5.1. Users may only participate in one Guild per person. Guild masters may not participate in a Guild other than Guild they manage.
5.2. Users shall not take any action prohibited by LINE GAME Service Terms of Use, and Guild Master shall not arbitrarily exercise or abuse its powers as Guild Master.
5.3. Users' posted content (which is stipulated in LINE Terms and Conditions of Use 1.3.) may be publicly available in Guild Services to other Users who are not familiar with the User who posted it.
6. Modification to Matters Concerning Guild
6.1. If LINE deemed it to be necessary, LINE may modify matters related to the establishment of Guild, matters related to withdrawal from Guild, and any other matters related to Guild without prior notice to Users.
6.2. In order to provide Guild Services smoothly, LINE may monitor Users’ gameplay, communications, and all other activities within each Guild.
6.3. In the event LINE determines that these Terms, LINE GAME Service Terms of Use or any other matter to be observed by Users are violated, LINE may restrict or delete the use of Guild Services by such User, in whole or in part, without prior notice to the User.
7. Withdrawal from Guild
7.1. Users (in case of Guild Masters, limited to those transfer the status of Guild Master under Article 4.2.) may withdraw from the participating Guild. After withdrawal, Users must wait more than 24 hours to resume participation in the same Guild and to participate in another Guild.
7.2. LINE may temporarily or permanently withdraw from the participating Guild without prior notice any User that LINE reasonably determines is in breach of these Terms, LINE GAME Services Terms of Use or any other applicable compliance.
7.3. Guild Master may at any time withdraw all or part of the members of such Guild (except Guild Master) from such Guild.
7.4. Guild Master may dissolve such Guild.
8. LINE'S LIMITATION OF LIABILITY
8.1. LINE WILL NOT BE LIABLE FOR ANY DAMAGE INCURRED BY USERS ARISING FROM THE USE OF GUILD SERVICES UNLESS SUCH DAMAGE IS ATTRIBUTABLE TO THE INTENTIONAL OR GROSSLY NEGLIGENT ACTS OF LINE; PROVIDED, HOWEVER, THAT, IN CASE THAT THE AGREEMENT BETWEEN THE USER AND LINE WITH RESPECT TO THE USE OF GUILD SERVICES FALLS UNDER THE CONSUMER CONTRACT AS DEFINED IN THE CONSUMER CONTRACT ACT OF JAPAN (A “CONSUMER CONTRACT”), LINE WILL BE LIABLE TO PROVIDE COMPENSATION FOR DAMAGE ARISING DUE TO NEGLIGENCE ON THE PART OF LINE (EXCLUDING GROSS NEGLIGENCE) ARISING FROM CONTRACT OR TORT ONLY WITHIN THE RANGE OF (A) THE DAMAGE WHICH IS NORMALLY INCURRED (I.E., EXCLUSIVE OF LOST PROFITS AND OTHER DAMAGES ARISING UNDER SPECIAL CIRCUMSTANCES), AND (B) THE AMOUNT OF USAGE FEES FOR GUILD SERVICES RECEIVED FROM SUCH USER FOR FEE-BASED SERVICE FOR THE MONTH IN WHICH SUCH DAMAGE HAS BEEN INCURRED, AT MAXIMUM.
8.2. IF A USER INCURS DAMAGE AS A RESULT OF GROSS NEGLIGENCE ON THE PART OF LINE, LINE WILL BE RESPONSIBLE TO PROVIDE COMPENSATION FOR THE DAMAGE INCURRED BUT ONLY WITHIN THE RANGE OF (A) THE DAMAGE WHICH IS NORMALLY INCURRED (I.E., EXCLUSIVE OF LOST PROFITS AND OTHER DAMAGES ARISING UNDER SPECIAL CIRCUMSTANCES), AND (B)THE AMOUNT OF USAGE FEES FOR GUILD SERVICES RECEIVED FROM SUCH USER FOR FEE-BASED GUILD SERVICES FOR THE MONTH IN WHICH SUCH DAMAGE HAS BEEN INCURRED, AT MAXIMUM; PROVIDED, HOWEVER, THAT THE FOREGOING SHALL NOT APPLY IF THE AGREEMENT BETWEEN SUCH USER AND LINE FALLS UNDER THE DEFINITION OF A CONSUMER CONTRACT.
8.3. LINE shall not be obligated to restore the condition of Guild for any reason whatsoever if Guild in which Users is participating has been dissolved, extinguished or the function of which has been limited and to restore any and all information relating to such Guild.
8.4. In the event Users withdraws from Guild (including cases where the withdrawal is not based on Users' own will), LINE shall not be obliged to restore for any reason whatsoever any position in the Service held by Users in relation to Guild prior to such withdrawal.
9. Relationships between These Terms and Laws
If any provision of these Terms is found to violate the Consumer Contract Act of Japan or any other laws and regulations applicable to an agreement between Users and LINE with respect to Guild Services, such provision, to the extent of such violation, shall not apply to the agreement with the Users; provided however that, the remaining provisions of these Terms shall not be affected thereby.
10. Modification to These Terms
LINE may modify these Terms when LINE deems it to be necessary within the scope of the purposes of the Guild Services. In such case, LINE will indicate the content of the modified version of Terms, as well as the effective date of the modification, on the Service or on LINE’s website, or will publicize the same to Users by notifying Users in the manner prescribed by LINE. The modified version of Terms shall become effective as of the effective date thereof.
11. Matters not stipulated in These Terms
Matters not stipulated in these Terms shall be subject to the provisions of LINE GAME Service Terms of Use.
