Group Order Terms and Conditions

These Terms and Conditions for the Use of Group Order Feature (the "Terms and Conditions") govern the use of the "Group Order" feature ("Group Order") on the LINE MAN application (the "Application"), which is provided by LINE MAN (Thailand) Co., Ltd. and/or Wongnai Media Co., Ltd. and/or their affiliates (collectively referred to as the "Company") to facilitate consolidated ordering for multiple users under a single order, exclusively for orders placed under the Food Delivery Service via the Company's Application.

Please read these Terms and Conditions carefully, as they affect your rights and obligations. Your explicit acceptance of these Terms and Conditions, or any actions taken by you under the Group Order Feature, constitutes an unequivocal declaration that you have read, understood, and unconditionally agree to be bound by these Terms and Conditions in their entirety.

 

1. Definitions

Capitalized terms not otherwise defined in these specific terms relating to product purchase under this Group Order Feature shall have the meaning ascribed to them in the Master Terms of Service.

Host: Means the User who initiates or creates the Group Order first via the Group Order button and is responsible for managing the entire order.

Member: Means each User who joins the Group Order via the QR Code or link created and shared by the Host.

Group Order: Means an order for goods or services placed through the LINE MAN platform involving more than one User (consisting of the Host and at least 1 Member) under a single ordering and delivery transaction.

2. Participation and Ordering

2.1 Group Order Creation

The Host is responsible for creating the Group Order, specifying the desired merchant, and sharing the link or QR code to invite Members to join the Group Order.

2.2 Group Order Participation

Members may join the Group Order only within the specified timeframe and through the channel provided by the Host. Orders for goods or services placed by each Member will be consolidated into a single order list under the same Group Order.

2.3 Order Summary and Payment Processing

The Host shall be primarily responsible for reviewing, confirming, and finalizing the accuracy of all order items under the Group Order, including verifying the completeness and correctness of the delivery address. The Host must also process the full payment for all costs associated with that Group Order, including but not limited to the cost of goods, delivery fees, and other related service charges as displayed on the Company's Application.

2.4 Host's Responsibilities

The Host unconditionally agrees and accepts that the Host shall be solely primarily responsible and bear the risk in the event of any issues or defects related to the Group Order, including: order cancellations, refunds (other than direct payments made by individual Members), and/or other claims for damages arising from that Group Order.

However, in cases where the system permits a separate billing (Split Bill) where each Member pays for their portion of the goods and services:

(a) Host's Responsibility: The Host still has the duty to manage and initially resolve disputes with Members and remains responsible for all operational aspects of the Group Order, except for issues related to the direct payment of each Member as specified in Clause (b).

(b) Member's Responsibility: Each Member agrees and accepts that they shall be solely responsible for any issues, defects, and risks related to their own payment, including but not limited to payment delays, payment errors, or other problems arising from that Member's chosen payment method.

2.5 Cancellation

A Group Order can be canceled only through the Host, and such cancellation must strictly adhere to the general order cancellation policies and terms stipulated by the Company, which the Host is obliged to acknowledge and follow.

3. Discounts and Promotions

3.1 Right to Receive Discounts

All Users (both Host and Members) shall be entitled to use or receive discounts specifically designated for orders placed via the Group Order Feature, according to the conditions set by the Company.

The discount rate granted to Users will be calculated and may vary based on several factors, including but not limited to:

3.3 Display and Finality of Discounts

The system will clearly display the actual discount rate received on the application page before the payment process. The discount displayed in the final payment step shall be considered the final and binding discount for that specific order.

3.4 Promotion Usage Restrictions

Any promotions, discounts, or benefits created for the Group Order Feature are exclusively applicable to orders placed through the Group Order channel and cannot be combined with other services, promotions, or offers of the Company, including but not limited to Pick & Go services or Dine-in Deals offers.

4. Limitation of Liability and Refunds

4.1 Refunds

The refund process for a Group Order (whether due to incomplete items, damaged items, and/or order cancellation) shall be conducted as follows:

(a) In the event the Host made the full payment: The refund amount will be credited back only to the account of the User who acted as the Host. The Host shall bear the burden and responsibility of managing and allocating the refunded amount to the relevant Members independently.

(b) In the event of a separate billing (Split Bill) where each Member paid for their portion of the goods and services: The refund will be processed and credited back to the original payment channel or source of each Member affected by the reason for the refund.

4.2 Disputes Between Host and Members

The Company shall not be responsible for or involved in the management or resolution of any disputes, conflicts, or claims arising between the Host and Members regarding the sharing of expenses, inter-party payments, and/or the accuracy of the items ordered by each party.

4.3 Scope of the Company's Liability

The Company's liability arising from a Group Order transaction shall be strictly limited to the scope and terms stipulated in the Master Terms of Service of LINE MAN and the Food Delivery Service Specific Terms only.

5. Additional Terms

5.1 Right to Amend, Modify, and/or Terminate Service

The Company reserves the sole right to change, add, amend, revise, suspend the use of, or terminate all or part of the provisions of these Terms and Conditions, including the cessation of any promotion or the cancellation of this Group Order Feature at any time at the Company's discretion.

The Company will notify Users in advance of such changes, according to the period and methods prescribed by relevant laws. Any amendments shall become effective immediately upon the Company publishing the revised Terms and Conditions on the platform, or upon the expiration of the legally required notification period, whichever is applicable.

5.2 Acceptance and Binding to Terms

Any User (whether Host or Member) selecting to use, access, or perform any action under the Group Order Feature constitutes an express intention that the User has read, understood, and agrees to be immediately bound by these Terms and Conditions.

5.3 Governing Law

These Terms and Conditions for the Use of Group Order Feature shall be governed by and construed solely in accordance with the laws of the Kingdom of Thailand. In the event of any dispute, conflict, or claim arising from or related to these Terms, Users agree to submit to the exclusive jurisdiction of the Courts of Thailand for the consideration and resolution of such dispute.

5.4 Master Terms

These Terms and Conditions shall be supplementary to and shall complement the LINE MAN Master Terms of Service and the Food Delivery Service Specific Terms. In the event any provision in these Terms and Conditions for the Use of Group Order Feature conflicts with, is inconsistent with, and/or differs from the Master Terms of Service and the Food Delivery Service Specific Terms, the provisions of these Group Order Feature Terms and Conditions shall prevail and supersede only with respect to the use of the Group Order Feature.
