LINE購物服務使用條款

 

LINE購物服務使用條款(以下簡稱「LINE購物條款」)旨在闡明使用 LINE購物的電子商務平台服務(以下簡稱「本項服務」)的條款與條件,LINE株式會社(以下簡稱「LINE Corp.」)為本項服務的供應商,LINE Plus株式會社及其關係企業(以下簡稱「Plus」)係本項服務的經銷商(LINE Corp.與Plus以下合稱「LINE」)。除LINE購物條款外,LINE使用條款亦應適用。在LINE購物條款與LINE使用條款發生衝突的情況下,須優先適用LINE購物條款。使用者使用本項服務時須遵守LINE購物條款與LINE使用條款的規定。使用者在使用本項服務時有義務遵守所有適用法規。本LINE購物條款中未予定義的任何術語應具有在LINE使用條款中規定的含義。

 

1. LINE購物服務

 

LINE提供的本項服務係LINE@服務之一部分,乃為使用者從獨立於LINE的賣方(以下簡稱「賣方」)處購買新產品以及二手產品所提供的平台。當使用者通過本項服務購買產品時,使用者係從賣方處購買產品,而非從LINE處購買產品。使用者同意LINE並非任何使用者或賣方的代理人,且無權代表使用者或賣方行事。

 

2. 購買條件 

 

為通過本項服務購買任何產品或服務,使用者應:

(a)若使用者未滿法定年齡,使用者應在購買產品時獲得使用者監護人的同意;

(b)為賣方所在國的居民;

(c)確切瞭解並同意使用者欲購買之任何產品或服務之條件;並且

(d)在此陳述並保證使用者使用本項服務時將遵守應適用法律、條例及規章。

 

3. 配送

 

3-1. 使用者在本項服務下購買的產品由賣方配送而非LINE配送。使用者同意LINE無義務向使用者配送任何產品。使用者同意LINE可向賣方和/或配送人提供使用者的姓名、配送地址、電話號碼和/或產品收件人的姓名、配送地址和電話號碼,以使產品被發送。使用者同意在賣方不承擔配送費用時全額承擔使用者所購買的任何產品的配送費用。

 

3-2. 使用者將不會為本項服務下產品的配送指定任何公司,且將選擇賣方指定的產品配送方式。

 

4. 付款條件

4-1. 所有款項應通過LINE Pay支付,LINE Pay係由連加網路商業股份有限公司提供的付款系統。使用者應註冊LINE Pay系統並遵守使用該系統的相關條款與條件。

4-2. 使用者同意承擔由使用者購買產品而產生的所有費用(包括但不限於可能產生的聯絡費用、可適用稅金、配送費等)。

 

5. 訂單之變更或取消

 

使用者一旦發出訂購本項服務項下的任何產品的訂單,賣方將處理訂購程序的所有事項。使用者將須聯繫賣方以變更或取消其擬變更或取消的訂單。使用者可使用LINE通信服務向賣方發送訊息;但LINE不保證賣方會回復使用者的訊息。

 

6. 產品退還


使用者不可將使用者在本項服務下購買的任何產品退還至LINE處。就使用者擬進行的產品的退還,使用者應聯繫賣方。使用者可使用LINE通信服務向賣方發送訊息;但LINE不保證賣方會回復使用者的訊息。

 

7. LINE購物條款的修改

 

LINE有權於任何時間自主變更、添加或刪除LINE購物條款。使用者有義務在每次使用本項服務前隨時查閱此類LINE購物條款。使用者在變更被發佈後繼續使用本項服務,視為使用者已接受並同意該等變更。

 

8. 爭議解決的步驟及索賠程序


若使用者未從賣方處收到產品或使用者收到的產品存在缺陷、受損或與本項服務中所含的描述不一致的情況,使用者應直接聯繫賣方以嘗試解決該問題。使用者可使用LINE通信服務向賣方發送訊息;但LINE不保證賣方會回復使用者的訊息。LINE不會代表使用者或賣方調解、爭論或解決該問題。

 

9. 禁止行為

 

若LINE判斷以下情況可直接或間接適用於使用者,LINE可立即暫停或終止提供本項服務或其LINE帳戶:

(a)導致賣方和使用者不使用LINE Pay而直接交易的行為;

(b)LINE使用條款中禁止的行為;

(c)阻礙LINE運營LINE服務或阻礙其他使用者使用LINE服務之行為;

(d)其他可被LINE視為不適宜之行為。

 

10. 賠償 

 

因使用者違反本LINE購物條款或任何法律、法規或侵犯第三方權利而引起的或與之相關的任何第三方的索賠或請求(包括合理的律師費),使用者同意賠償並使LINE及其關係企業、經理人、董事、受僱人、代理人及本項服務的其他使用者免受損害。若使用者未能承擔對上述索賠或請求的抗辯,則LINE可以採用任何其認為適當的方式對上述索賠或請求進行抗辯,且使用者同意向LINE支付LINE為進行該等抗辯而承擔的所有費用(包括合理的律師費),以及LINE可能因案件的和解或裁判而被要求支付的金額。本條款項下的賠償條款在使用者對本項服務的使用終止後繼續有效。

 

11. 免責聲明

 

在此提供的服務、下載產品、軟體、數據和資訊均為按現狀提供。除本條款中明示規定以外,LINE在此明確就本項服務相關的任何事項上的任何明示或默示的保證和/或條件作出免責聲明,包括但不限於任何商業適售性、資料之品質和特定目的之適用性、適當性、所有權、未侵害他人權利、無病毒或與描述相符方面的默示的保證和/或條件。

 

12. 責任限制

 

使用本項服務、使用本項服務項下提供的或相關的任何產品和/或服務、和/或使用任何內容和/或數碼下載產品引發的全部風險歸於賣方或使用者。任何情況下,LINE或任何其經理人、董事、受僱人、代理或關係企業均不對因LINE購物條款或任何產品、服務、內容和/或數碼下載的使用或無法使用而產生的、因本項服務或相關服務的延遲或無法使用而產生的或與之相關的、因產品或服務的提供或未能提供而產生的、與通過本項服務獲得的任何資訊、軟體、產品、服務和內容有關的、或在使用本項服務時因其他事由產生的任何衍生性的、附帶性的、直接的、間接的、特別的、懲罰性的損失或任何其他損失(包括但不限於營業利潤的損失、營業中斷、營業資訊的損失或其他金錢性的損失)承擔責任,無論此類損失係基於契約、侵權、過失、嚴格責任亦或其他方面,即便LINE已被告知此類損害可能發生。LINE不應對帳單或配送地址等訂單資訊不準確或不完整而可能導致的遲延承擔責任。使用者瞭解並同意本條款中規定的免責聲明和責任限制以及賠償限制為一不可分割的風險分配方式(包括但不限於完全以及根本性地違反本LINE購物條款的情形),該等風險分配為雙方當事人之間的交易的重要基礎。

 

13. 隱私權

 

13-1. 公司最優先保護其使用者的隱私權。

 

13-2. 公司承諾依據LINE的隱私權政策保護其使用者的隱私權和個人資訊。

 

13-3. 公司承諾盡最大程度的謹慎和注意執行其安全保障措施,以使任何及所有使用者資訊得到持續性的保護。

 

14. 一般條款 

 

14-1. 延遲執行或未能執行本LINE購物條款項下的行為不構成LINE對本LINE購物條款項下任何權利之棄權。若本LINE購物條款項下任何條款依據相關法律為無效或不可執行,則該條款應在盡最大可能的範圍內被視為可以執行(且在該等條款完全無法執行時被視為可分割),且本LINE購物條款的其他條款應繼續有效且可執行。本LINE購物條款對LINE、其關係企業及其容許的繼承人和受讓人均具有約束力。

 

14-2. 本LINE購物條款以日本法為準據法,且不涉及或適用任何衝突法或規定。使用者同意以日本東京地方法院為專屬的管轄法院。

LINE Shopping Terms and Conditions of Use

The LINE Shopping Terms and Conditions of Use (“LINE Shopping Terms of Use”) set forth the terms and conditions for use of LINE Shopping platform service (“Service(s)”) provided by LINE Corporation (“LINE Corp.”) as the service provider and LINE Plus Corporation and its affiliates as the distributor (“Plus”) (LINE Corp. and Plus, collectively as “LINE”). In addition to the LINE Shopping Terms of Use, the LINE Terms and Conditions of Use apply. In the event of any conflict between the LINE Shopping Terms of Use and the LINE Terms and Conditions of Use, LINE Shopping Terms of Use will prevail. The User will use the service in accordance with the provisions of LINE Shopping Terms of Use and the LINE Terms and Conditions of Use. The User is responsible for compliance with all applicable laws and regulations when using the Service. Any capitalized terms not defined herein shall have the meaning(s) set forth in the LINE Terms and Conditions

 

1. LINE Shopping service

LINE provides the Service as a part of LINE@ service and as places for the User to purchase new and used products from sellers who are independent of LINE (“Seller(s)”).  When the User makes a purchase through the Service, the User is purchasing products from the Seller, not from LINE. The User agrees that LINE is not an agent for any User or Seller, and has no authority to act on a User’s or on the Seller’s behalf.

 

2. Conditions of Purchase. 

To purchase any products or services on the Service, the User shall:

(a) obtain the User’s statutory agent’s consent to purchase products if the User is under age;

(b) be a resident in the same country where the Seller exists;

(c) understand and agree the conditions accurately as for any products or services that a User will purchase; and

(d) hereby represent and warrant that the User’s use of the Service will comply with applicable laws, ordinances and regulations.

 

3. Delivery

3-1. Delivery of the products that the User purchases in the Service are made by the Seller and not LINE. A User agrees that LINE has no obligation to deliver to the User any products. The User agrees that LINE may provide to the Seller and/or deliverers the User’s name, delivery address, telephone number and/or the receivers of the products’ name, delivery address and telephone number for delivery of the products. The User agrees to pay the delivery fees in full for any products that the User purchases if the Seller does not bear the delivery fees.

3-2. The User will not assign any company for delivery of the products in the Service and shall choose delivery means designated by the Seller.

 

4. Conditions of Payment

4-1. All payments shall be made through LINE Pay, the payment system service provided by LINE BIZ+ Taiwan Limited. The User shall register in LINE Pay and shall comply with their terms and conditions relating to use of LINE pay. 

4-2. The User agrees to bear all costs incurred in connection with User’s purchases (including but not limited to communication costs, applicable taxes and delivery fees, if any). 

 

5. Changing or Cancelling Orders

Once the User has placed an order for any product in the Service, the Seller will be handling all aspects of the order process. The User will need to contact the Seller for any changes or cancellations that the User desires to make to its order. The User may send messages to the Seller by using LINE messenger service; provided, however, that it is not guaranteed that the Seller will respond to User’s messages.

 

6. Returns of Products
The User may not return any products the User purchases in the Service to LINE. The User shall contact the Seller regarding any product returns that the User desires to make. The User may send messages to the Seller by using LINE messenger service; provided, however, that it is not guaranteed that the Seller will respond to User’s messages.

 

7. Amendments to the LINE Shopping Terms of Use

LINE reserves the right, at its sole discretion, to change, add or remove portions of these LINE Shopping Terms of Use, at any time. It is Users’ responsibility to check these LINE Shopping Terms of Use each time before using the Service. User’s continued use of the Service following the posting of changes will mean that the User accepts and agrees to the changes.

 

8. Dispute Resolution Steps, Claim Process.
If the User does not receive product from the Seller or the User has received a product that is defective, damaged, or that does not match the description contained in the Service, the User shall contact the Seller directly to attempt to resolve the problem. The User may send messages to the Seller by using LINE messenger service; provided, however, that it is not guaranteed that Seller will respond to User’s messages. LINE will not mediate, disputes, or resolve the matter on User’s or Seller’s behalf.  

 

9. Prohibited Acts

If LINE determines that any of the following items is applicable to the User directly or indirectly, LINE may immediately suspend or terminate the provision of the service or its LINE account.

(a) Activities that lead to direct transaction between the Seller and the User without using LINE Pay.

(b) Activities that are prohibited by the LINE Terms of Use

(c) Activities that interfere with LINE’s operation of LINE’s services or with the use of LINE services by other users.

(d) Other activities that are deemed by LINE to be inappropriate.

 

10. Indemnification. 

The User agrees to indemnify and hold harmless LINE and its affiliates, officers, directors and employees and agents, and other Users from any claim or demand, including reasonable attorneys' fees, made by any third party arising out of or related to User’s violation of these LINE Shopping Terms of Use, or User’s violation of any law, regulation or third-party right. If the User fails to assume such defense, then LINE may defend the action in any manner that it deems appropriate, and the User agrees to pay to LINE all costs, including reasonable attorneys' fees, that LINE incur in effecting such defense in addition to any sum that LINE is likely to be required to pay by reason of any settlement or judgment. This indemnity hereunder, shall survive after the termination of the User’s use of the Service.

 

11. Disclaimer of Warranties.

THE SERVICES, DOWNLOADS, SOFTWARE, DATA, AND INFORMATION ARE PROVIDED "AS IS." EXCEPT AS EXPRESSLY STATED HEREIN, LINE EXPRESSLY DISCLAIMS ALL WARRANTIES AND/OR CONDITIONS, EXPRESS OR IMPLIED, AS TO ANY MATTER WHATSOEVER RELATING TO THE SERVICES, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES AND/OR CONDITIONS OF MERCHANTABILITY OR QUALITY OF DATA AND FITNESS FOR A PARTICULAR PURPOSE, SUITABILITY, TITLE, NON-INFRINGEMENT, LACK OF VIRUSES OR CORRESPONDENCE TO DESCRIPTION.

 

12. LIMITATION OF LIABILITY. 

THE ENTIRE RISK ARISING OUT OF THE USE OF THE SERVICES, THE USE OF ANY PRODUCTS AND/OR SERVICES OFFERED ON OR IN CONNECTION WITH THE SERVICE, AND/OR THE USE OF ANY CONTENT AND/OR DIGITAL DOWNLOADS REMAINS WITH THE SELLER OR THE USER. IN NO EVENT LINE OR ANY OF THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS OR AFFILIATES BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, DIRECT, INDIRECT, SPECIAL, PUNITIVE, OR OTHER DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR OTHER PECUNIARY LOSS) ARISING OUT OF THESE LINE SHOPPING TERMS OF USE OR THE USE OF OR INABILITY TO USE ANY PRODUCTS, SERVICES, CONTENT AND/OR DIGITAL DOWNLOADS, ARISING OUT OF OR IN CONNECTION WITH THE DELAY OR INABILITY TO USE THE SERVICE OR RELATED SERVICES, ARISING OUT OF THE PROVISION OF OR FAILURE TO PROVIDE PRODUCTS OR SERVICES, OR IN CONNECTION WITH ANY INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND CONTENT OBTAINED THROUGH THE SERVICE, OR OTHERWISE ARISING OUT OF THE USE OF THE SERVICE WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE EVEN IF LINE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ORDER INFORMATION SUCH AS BILLING OR DELIVERY ADDRESS THAT IS INACCURATE OR INCOMPLETE MAY RESULT IN DELAYS THAT SHALL NOT BE THE RESPONSIBILITY OF LINE. THE USER ACKNOWLEDGES AND AGREES THAT THE LIMITATIONS OF LIABILITY, DISCLAIMERS OF WARRANTIES AND LIMITED REMEDIES SET FORTH HEREIN REPRESENT AN INSEPARABLE ALLOCATION OF RISK (INCLUDING, WITHOUT LIMITATION, IN THE EVENT OF A TOTAL AND FUNDAMENTAL BREACH OF THESE LINE SHOPPING TERMS OF USE) THAT IS AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN THE PARTIES.

 

13. Privacy

13-1. The Company places its highest priority on the privacy of its Users.

13-2. The Company promises to protect the privacy and personal information of its users in accordance with the LINE Privacy Policy.

13-3. The Company promises to exercise the utmost care and attention regarding its security measures for the continued security of any and all User information.

 

14. General. 

14-1. No delay or failure to take action under these LINE Shopping Terms of Use shall constitute any waiver by LINE of any provision of these LINE Shopping Terms of Use. If any provision of these LINE Shopping Terms of Use is invalid or unenforceable under applicable law, then that provision is, to that extent, deemed enforceable to the fullest extent possible (and severable in the event such provision is completely unenforceable) and the remaining provisions of these LINE Shopping Terms of Use will continue in full force and effect. These LINE Shopping Terms of Use will bind and inure to the benefit of LINE, its affiliates, and their permitted successors and assigns.

14-2. These LINE Shopping Terms of Use shall be governed by the laws of Japan without regard to or application of any conflict of laws, or provisions. The User consents to the exclusive jurisdiction of the Tokyo District Court in Japan.
