Terms and Conditions
These Uzip Us Terms and Conditions (the "Terms") govern the use of all products and services associated with Uzip Us (collectively, the "Service") provided by LINE Plus Corporation (the "Company") to Members of the Service, whether singularly referred to as a "Member" or collectively as "Members."
1. Definitiona. In these Terms, the following words and terms shall have the meanings ascribed to them below when used:
(i) "Account" means the unique ID and associated information that Members create to access and utilize the Service. Member is required to use their LINE account and the email address, and select the name of designated school(s), to create and/or verify the Account. (ii) "Content" means information, encompassing but not limited to text, sounds, music, images, videos, software, programs, computer code, and other forms of information posted to the Service.(iii) "Member Content" means Content that Members have submitted, transmitted, or uploaded on or to the Service.(iv) "Usage History" means schedules, class-related information, and any other content generated by Members while utilizing the Service.(v) "Member(s)” means the people who are eligible and have created Accounts through the verification process on the Service.(vi) "Visitor(s)” means the people who browse the public sections of the Service before and without login their Account.
b. Any terms within these Terms not explicitly defined in (a) shall be interpreted in accordance with common practice.
2. Modifications to the Terms(a) The Company reserves the right to make modifications to these Terms in compliance with applicable laws and regulations, whenever such modifications are deemed necessary within the scope of providing the Service. In such instances, the Company will communicate the revised Terms, along with their effective date, either through the Service, the relevant website, or by notifying Members through methods prescribed by the Company.(b) The modified version of these Terms shall come into effect on the specified effective date.
3. Provision of the Service
(a) The Company provides the following Service:
(i) Account Registration:
Members are required to create and register with the Company his/her own Account in accordance with these Terms. Member’s display name in the Service will be display name of the LINE account that Member used to create the Account.
(ii) Timetable Service:
Integrate designated universities' course information and course event to provide multiple-timetable and course event management. The foregoing course information and course event are collectively referred to hereinafter as “Course Event”. The Course Event is collected either by public information available to the Company or by the designated universities. Although the Course Event may be updated from time to time at the Company's discretion, the Service does NOT provide real-time update to the Course Event. The scope of Course Event presented to Member is selected in accordance with the email that Members used when creating the Account.
(iii) Calendar Service:
Manage all personal events and Course Events together in a single view and support a time-slot matching feature to quickly assist Members in arranging their available time with each other. Members’ may be able to invite other Members so that the invited Members can see event details on inviting Member’s calendar. Without an invitation, no event details of Member’s calendar will be shared with other Members. In the case that there is no invitation, Members may still be able to see on the calendar each other’s available time slots that contains no event details.
(iv) Course Reviews:
Members can explore and contribute to course reviews for their university on the Service, sharing their feedback for the course. The Service may allow Members to provide course review and related opinion anonymously (the “Anonymous Opinion”), provided that, it does not free Members from taking all responsibilities, including those specified in these Terms, for their own Anonymous Opinion. Also, the Anonymous Opinion prevents only other Members from learning the identity of the opined Members. That is, even if it is the Anonymous Opinion, the Company is still able to learn the identity of the opined Members. For the avoidance of doubt, the Anonymous Opinion is one of the Member Contents.
(v) Poll Hub:
Members can initiate or participate in voting topics created by other Members in the same school on the Service website. Members can vote on options under specific topic and leave comments. The Service may allow Members to create a poll and/or leave comments anonymously (“Anonymous Opinions”), subject to the responsibilities outlined in these Terms. Like Anonymous Opinions in Course Reviews, these opinions prevent other Members from identifying the opining Members while allowing the Company to identify them. Both the voting topics created by Members and opinions left thereto, including the Anonymous Opinions, constitute Member Content.
(vi) Account Deletion:
If Members wish to discontinue using all of the Service, they can utilize the “Delete Account” feature to disconnect from the Service, resulting in the removal of their timetable and calendar data from the Service but the course reviews they post would be keep in the Course Review service.
(vii) Account Setting:
If Members wish to update personal details such as gender, department, and admission time, they can make use of the “Personal Information Setting” feature. However, updating or modifying the school name and email is not permitted, as these details are integral to Members' identity and have been verified. Members who aim to update the school name and email, please utilize the customer service form to request Uzip Us team to update the information.
(b) Members are responsible for procuring and maintaining their own PCs, mobile devices, smartphones, and other communication devices, as well as ensuring access to suitable operating systems, communication methods, and electrical resources necessary for utilizing the Service, at their own expense and discretion.
(c) The Company reserves the right to restrict Members' access to all or parts of the Service based on conditions deemed necessary by the Company, which may include factors such as age verification, identification, current registration status, and more.
(d) The Company retains the discretion to modify all or portions of the Service as it deems necessary, without prior notice to Members.
(e) The Company may cease providing all or portions of the Service without prior notice to Members under any of the following circumstances:
- (i) During system maintenance or repair;
- (ii) When the Service cannot be delivered due to force majeure events, such as accidents (fires, power outages, etc.), acts of nature, war, riots, labor disputes;
- (iii) In cases of system failures or excessive system load;
- (iv) To ensure or to mitigate any potential impact on the important interest and/or safety of Members, third parties, or in emergency situations for the public welfare; or
- (v) When the Company reasonably determines it to be necessary, in addition to the conditions stated in (i) through (iv).
4. Account
(i) When utilizing the Service, Members are required to create an Account by providing accurate, complete, and current information. Members are responsible for maintaining the accuracy of this information and updating it as necessary.
(ii) If Members choose to register authentication information while using the Service, they are responsible for securely managing this information to prevent any unlawful use. When a Member's registered authentication information is used to access the Service, the Company will assume that it is a Member who is making use of the authentication information.
(iii) Members who have registered for the Service have the option to delete their Account and cancel the Service at any time.
(iv) The Company reserves the right to delete any Account that remains inactive for a period of one (1) year or longer without prior notice to the respective Member.
(v) The Company reserves the right to delete any Account that is reported to the fake account without prior notice to the respective Member.
(vi) Once a Member's Account is deleted for any reason, all rights to use the Service associated with that Account cease to exist. It is important to note that deleted Accounts cannot be recovered, even in the case of accidental deletion. In addition, Member may be unable to use his/her Account or be deemed as has been deleted his/her Account if the LINE account and/or the email address that Member used to create such Account is deleted or cannot be accessed anymore. In the foregoing case, the Company may cease to provide the Service to such Member. Further, the Company bears NO liability of transferring any rights or interests of such Member to any other Member and/or Account.
(vii) Each Account within the Service is for exclusive use by the Account holder and belongs solely to that Member. Members are prohibited from transferring, leasing, disposing of their rights to use the Service to any third party, or allowing third parties to inherit or succeed to these rights.
5. Privacy(a) The Company places a high priority on safeguarding the privacy of its Members and is committed to making diligent and reasonable efforts to protect Members' personal information in compliance with relevant laws and regulation.(b) Members are accountable for managing all of their personal information and may not transfer or loan it to third parties.(c) The Company will handle privacy and personal information of Members in a manner consistent with the Uzip Us Privacy Policy, ensuring appropriate and lawful treatment. Members are encouraged to review this policy to gain a comprehensive understanding of the data protection practices in effect.
6. Advertisements(i) The Company reserves the right to display advertisements, either for the Company itself or on behalf of third parties, within the Service.(ii) Subject to Member’s consent, the Company may use Members' Usage History to tailor and display advertisements within the Service.(iii) With Members' consent to receive advertising information, the Company may transmit such information through the channels that Members have agreed upon.(iv) The Company shall not be held liable for any damages incurred by Members as a result of advertisements posted or advertising information sent under (i), (ii), and (iii), unless the Company's actions are proven to be intentional or grossly negligent.
7. Third Party Service
The Service may include services or content provided by third parties unrelated to the Company. These third parties are solely responsible for these services and/or content. Additionally, third parties may introduce terms of use or other conditions that are applicable to these services and content.
8. Content
(a) The Company grants Members a non-transferable, non-sublicensable, non-exclusive license to use the Content provided by the Company, solely for the purpose of utilizing the Service.(b) Members must adhere to the applicable conditions when using Content that is subject to specific usage terms, including additional fees and usage periods. Even if terms like "purchase" or "sales" appear on the Service screens, the Company retains ownership of all intellectual property and other rights in the Content provided to Members, and such rights are not transferred to Members. Members are granted only the usage rights as specified above.(c) Members are prohibited from using Content beyond the intended use within the Service, including acts such as copying, transmitting, reproducing, and modifying.(d) If Members wish to back up any or all of their Member Content, they are responsible for doing so themselves. The Company does not undertake the obligation to back up Member Content.(e) The Service may include functions that allow multiple Members to edit Content (e.g., post, correct, delete). In such cases, Members who post Member Content grant other Members the right to edit such Member Content. However, Members shall bear his or her own responsibility for ensuring that no Members Content shall infringe any party’s right, violate any applicable laws and regulations, or breach these Terms.(f) Members retain their rights to their Member Content, and the Company does not acquire any such rights. However, regarding Member Content made available to other Members generally (not just to a Member's "friends"), a Member who posted such Member Content is deemed to have granted the Company a worldwide, perpetual, royalty-free license (including the right to amend, such as abbreviating, Member Content as necessary and appropriate, and the right to sublicense such usage rights to other third parties collaborating with the Company) to use such Member Content for the Service and/or promotional purposes.(g) Members shall not exercise their rights, such as author's moral rights, concerning the use of Member Content by the Company or a third party under (e) and (f) above.(h) The Company may check and confirm the content of Member Content to the extent permitted by applicable laws and regulations. This confirmation may be necessary to ensure compliance with relevant laws, regulations, or the provisions outlined in these Terms. However, the Company is not obligated to conduct such confirmation.(i) If the Company believes that a Member has violated or may violate applicable laws, regulations, or the provisions of these Terms related to Member Content or for other reasonable business purposes, the Company reserves the right to restrict such Member's use of the Service, including deleting Member Content without prior notice to a Member.
9. Subscription Service(a) Members may access the Service in exchange for payment of a fee or in accordance with terms and conditions specified by the Company. These terms involve Members paying a predetermined amount to utilize specific Content designated by the Company for a specified duration (the "Subscription Service"). Members must comply with these terms and conditions, the fees associated with the Subscription Service, the payment methods, and any other terms and conditions of use provided on the Service.(b) Members have the option to initiate the cancellation procedure for the Subscription Service at any time. However, if a Member initiates the cancellation process before the intended usage period expires, they cannot alter the usage period or cancel the purchase of the Subscription Service. In such cases, any fees already paid will not be refunded, and no pro-rata refunds will be issued. This policy is subject to change if required by applicable laws or regulations.(c) If a Member does not complete the cancellation procedure by the specified date and time, the usage period of the Subscription Service may automatically renew in accordance with the Company's predetermined terms, even after the initial usage period concludes.
10. Restricted Use
The Company strictly prohibits Members from engaging in any of the following actions while using the Service. The Company is entitled to, without any notice, remove, blind, block or prevent any Member Content containing prohibited matters from being access to. For the avoidance of doubt, in addition to the above, in any of the following cases, the Company may also, at its own discretion, take other adequate measures, which include those specified in Section 11(b).
(a) Legal Violations: Acts that contravene, or are likely to contravene, applicable laws, regulations, court rulings, resolutions, orders, or legally binding administrative measures.(b) Public Order and Morality: Acts that may disrupt public order, morality, or established customs.(c) Intellectual Property Infringement: Acts that infringe, or are likely to infringe, upon intellectual property rights, including but not limited to copyrights, trademarks, patent rights, rights to fame, privacy, or any other rights conferred by law or by contract with the Company and/or third parties.(d) Harmful Content: Acts involving the posting or transmission of excessively violent or explicit sexual content, content resembling child pornography or child abuse, content promoting discrimination based on race, nationality, creed, gender, social status, family origin, etc., content encouraging suicide, self-harm, or drug abuse, or content of an anti-social nature causing discomfort to others.(e) False Information: Acts that misrepresent the Company and/or third parties or intentionally spread false information.(f) Spam: Acts of sending identical or similar messages to a large, unspecified number of Members (except when authorized by the Company), adding Members to friend lists or group chats indiscriminately, or any other actions considered spamming by the Company.(g) Unauthorized Conversion: Acts of converting the right to use the Service or Content into cash, property, or other economic benefits through means not prescribed by the Company.(h) Improper Use: Acts of using the Service for sales, marketing, advertising, solicitation, or any other commercial purposes (except when approved in advance by the Company), for sexual conduct or obscene activities, for arranging meetings or engaging in sexual encounters with unknown third parties, for harassment or libel against other Members, or for any purposes contrary to, or irrelevant to the intended use of the Service. For the avoidance of doubt, the Company may determine, at its own discretion and based on reasonable judgment, whether certain Content constitutes an Improper Use.(i) Collaboration with Anti-Social Groups: Acts that benefit or involve collaboration with anti-social groups.(j) Religious Activities: Acts related to religious activities or invitations to specific religious groups.(k) Unauthorized Handling of Personal Information: Acts of unauthorized or improper collection, disclosure, or provision of another person's personal information, registered information, user history, or similar data.(l) Interference with Service: Acts of interfering with the servers and/or network systems of the Service, fraudulent manipulation of the Service using bots, cheat tools, or other technical means, deliberate exploitation of Service defects, making unreasonable inquiries, or undue claims that hinder the Company's operation of the Service or the use of the Service by other Members.(m) Unauthorized Source Code Decoding: Acts of decoding the source code of the Service, such as reverse engineering or disassembling, for unfair or unreasonable purposes.(h) Facilitating Prohibited Acts: Acts that assist or encourage any of the actions listed in (a) to (m) above.(o) Other Inappropriate Acts: Acts deemed inappropriate by the Company that are not covered in (a) to (n) above, as determined by the Company's reasonable judgment.
11. Member Responsibility(a) Members are required to use the Service at their own risk and responsibility.(b) The Company reserves the right to take various actions, including but not limited to suspending the use of all or part of the Service, suspending or deleting Accounts, canceling agreements between a Member and the Company related to the Service (including, but not limited to, agreements based on these Terms, hereinafter the same), or implementing any other measures that the Company reasonably deems necessary and appropriate, without prior notice to a Member. This may occur if a Member falls under any of the following conditions or there is a possibility that a Member falls under them:(i) When a Member violates applicable laws and regulations, these Terms, or any separate terms and conditions.(ii) When a Member damages the credibility of the Company through the dissemination of false information, fraudulent or coercive means, or other unlawful methods.(iii) When legal actions, such as attachment, provisional attachment, or auction, are taken against a Member; proceedings like bankruptcy, civil rehabilitation, or similar procedures are initiated; or the Company reasonably determines that there is uncertainty regarding a Member's credibility.(iv) When the Company loses trust in a Member or otherwise reasonably determines that it would not be appropriate to provide the Service to a Member, for reasons other than those specified in items (i) to (iii) above.(c) If the Company incurs direct or indirect losses/damages (including, but not limited to, attorney fees) due to a Member's use of the Service, including cases where the Company receives complaints from third parties as a result of such use, a Member must promptly compensate the Company for such losses/damages as requested by the Company, in accordance with applicable laws and regulations.
12. NO WARRANTY
THE COMPANY PROVIDES NO WARRANTY, EITHER EXPRESSLY OR IMPLIEDLY, REGARDING THE SERVICE (INCLUDING THE CONTENT AND COURSE EVENT). THIS INCLUDES, BUT IS NOT LIMITED TO, THE ABSENCE OF DEFECTS (SUCH AS SECURITY FLAWS, ERRORS, BUGS, OR RIGHTS VIOLATIONS), SAFETY, RELIABILITY, ACCURACY, COMPLETENESS, EFFECTIVENESS, AND FITNESS FOR A PARTICULAR PURPOSE. THE COMPANY WILL NOT BE HELD RESPONSIBLE FOR CONTINUING TO PROVIDE MEMBERS WITH THE SERVICE AFTER RESOLVING SUCH DEFECTS. IN PARTICULAR, THE COURSE EVENT IS PROVIDED “AS IS,” “AS AVAILABLE,” AND WITH ALL FAULTS
13. LIMITATION OF LIABILITY; INDEMNIFICATION(A) TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY SHALL NOT BE HELD LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:
(I) MEMBERS’ ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE THE SERVICE.
(II) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN.
(III) ANY ERRORS, VIRUSES, BUGS, GLITCHES, OR OTHER DEFECTS THAT MAY BE TRANSMITTED TO OR THROUGH THE SERVICE.
(IV) ANY ACTIONS, CONTENT, MEMBER CONTENT, OR CONDUCT OF ANY THIRD PARTY ON OR RELATED TO THE SERVICE.
(V) ANY UNAUTHORIZED ACCESS TO OR USE OF MEMBERS’ TRANSMISSIONS, DATA, OR INFORMATION.
(B) IN NO EVENT SHALL THE COMPANY'S TOTAL LIABILITY TO MEMBERS FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN THESE TERMS, TORT, INCLUDING NEGLIGENCE, OR OTHERWISE) EXCEED THE AMOUNT PAID BY MEMBERS, IF ANY, FOR ACCESSING OR USING THE SERVICE.
14. Compliance with Laws and Regulations
If any terms within these Terms conflict with the laws and regulations applicable to an agreement between Members and the Company concerning the Service, those terms that violate such laws and regulations will not be enforceable in the agreement with Members. However, the remaining terms of these Terms shall remain unaffected and continue to apply.
15. Notification and Contact(a) The Company will use an appropriate method, as determined by the Company, to notify Members about the Service. This may include posting notifications in relevant sections within the Service or on the Company's website.(b) Members should communicate with the Company regarding the Service by utilizing the customer inquiry form provided within the Service or on the Company's website, or through other means designated by the Company.
16. Governing Law and Jurisdiction(a) These Terms and any disputes, claims, or legal proceedings arising from or related to them or the Service provided herein shall be governed by and construed in accordance with the laws of the Republic of Korea.(b) Any disputes, claims, or legal proceedings arising from or in connection with the Service or these Terms shall be subject to the exclusive jurisdiction of the Seoul Central District Court as the court of first instance.
